Clemson University Class of 1939 Bylaws

Article I - Name

Section 1

The name of this organization shall be the Clemson University Class of 1939.

Section 2

The Class shall function under the auspices of the Office of the Vice President for Academic Affairs & Provost of Clemson University, hereafter referred to as the Office of the Provost.

Section 3

The Clemson University Class of 1939 shall hereafter be referred to as the Class.

Article II - Vision and Purpose

Section 1 - Vision

The vision of the Class is to perpetuate and champion the traditions of the original members and promote their values of selfless generosity, service, loyalty, and dedication to Clemson University.

Section 2 - Purposes

  1. Continue the annual reunion of the Class, including the Memorial Service.
  2. Promote and sustain the Class of '39 Award for Excellence and maintain collegiality and participation among award recipients.
  3. Establish and sustain Class of '39 scholarships for students.
  4. Facilitate and help sustain campus projects that memorialize Clemson University history or serve the University community and public.
  5. Engage in other activities that promote the vision of the Class.

Article III - Membership

Section 1 - Original Members

Men who attended Clemson Agricultural and Mechanical College during 1935-1939 and identified most strongly with the Class of 1939. This membership is closed and limited to those listed in Appendix A.

Section 2 - Honorary Members

Individuals granted full privileges and encouraged to participate in Class activities. They include:

  • Widows of original members
  • Faculty recipients of the Class of '39 Award for Excellence
  • Special friends selected for contributions to the Class vision

Section 3 - Meetings

The Class shall hold at least three annual meetings:

  • At the Bell Tower Ceremony
  • At the Annual Reunion
  • At a time determined by the Executive Committee

Members shall receive at least 10 days' advance notice of meetings.

Article IV - Organization

  1. The Class operates within the administrative purview of the Office of the Provost.
  2. The Class is subject to University regulations.
  3. The Class shall be administered by its elected officers.

Article V - Executive Committee: Officers and Duties

Section 1 - Officers

Officers include a President, Vice-President, Secretary, and Treasurer, serving two-year terms and forming the Executive Committee. A quorum consists of three officers.

Section 2 - President

  • Chairs the Executive Committee
  • Represents and serves as spokesperson for the Class
  • Provides leadership for programs and activities
  • Calls and presides over meetings
  • Appoints committees subject to Executive Committee approval

Section 3 - Vice President

  • Member of Executive Committee
  • Acts in President's absence
  • Chairs the Reunion Committee

Section 4 - Secretary

  • Maintains membership records
  • Records and distributes meeting minutes

Section 5 - Treasurer

  • Maintains checking account
  • Deposits income and pays bills
  • Reports financial status to membership

Article VI - Standing Committees and Duties

Nomination Committee

  • Three members elected annually for staggered three-year terms
  • Prepares slate of officers
  • Reviews honorary membership nominations

Reunion Committee

  • Minimum of eight members (including Executive Committee)
  • Plans annual reunion events
  • Maintains reunion traditions

Committee of Award Winners

  • Six recipients of the Class of 1939 Award for Faculty Excellence
  • Elects its own chair
  • Operates according to the Award Fund Agreement

Article VII - Quorum and Voting

  • Quorum: Two officers and at least ten additional members
  • Majority vote required for motions (except Bylaws changes)

Article VIII - Ways and Means

  • Executive Committee may solicit contributions to endowments
  • Class maintains checking account for reunion funds

Article IX - Rules of Order

Meetings shall be conducted under the latest edition of Robert's Rules of Order Newly Revised.

Article X - Adoption and Amendments

Section 1

Adoption or amendment requires distribution to membership at least 10 days prior to voting and approval by:

  • Two-thirds of votes cast by Class members
  • The Vice President for Academic Affairs & Provost

Section 2 - Dissolution

Dissolution requires the same approval process as amendments. Remaining funds shall be donated to an existing Class endowment.
